1. Agreement
These Terms of Service (the “Terms”) form a contract between [Legal entity name], operating under the name CoopFinNetwork (“CoopFinNetwork”, “we”, “us”), and the business or person that creates an account (“you”). By creating an account, accessing the dashboard or the API, or using any service, you accept these Terms and our Privacy Policy. If you accept on behalf of a company, you confirm that you are authorised to bind it.
2. The services
CoopFinNetwork provides software and financial infrastructure that businesses integrate into their own products. Depending on what is enabled for your company, the services include:
- Card API: registration of cardholders, issuing of virtual Visa and Mastercard cards, funding, balances and transactions, and ordering of branded physical cards;
- Crypto: wallets for supported digital assets, acceptance of crypto payments, and withdrawals to external wallets;
- KYC and identity verification: hosted verification flows and results delivered to you;
- Payments: collection of MonCash payments and crypto payments through a hosted checkout;
- Transfers: transfers to MonCash numbers and withdrawals to crypto wallets.
Not every service is available to every company or in every country. Services are enabled company by company, may require additional verification, and may be changed or withdrawn as described in these Terms. Some services are delivered with the help of licensed partners such as card issuers, identity-verification providers, mobile-money operators and blockchain infrastructure providers. We are a technology provider, not a bank.
3. Accounts and eligibility
- You must be a business, or an individual acting for business purposes, of legal age and capacity in your country. The services are not offered to consumers for personal use.
- You must give accurate, complete and current information, and keep it up to date. A single login can manage several companies; each company is treated as a separate account with its own verification, services, keys, wallet and cards.
- Business verification (KYB). Live access is granted only after we have reviewed your business. We may ask for documents about the company, its owners and its activity at any time, and may refuse or revoke access at our discretion and where required by law.
- Team members. You may invite colleagues, using professional email addresses, with an admin or member role. You are responsible for who you invite, for the permissions you give, and for everything done through your account.
4. Security and API keys
Keep your password, session, API keys and secret keys confidential. Do not embed secret keys in public code or client-side applications. You are responsible for all activity under your credentials until you tell us they are compromised and we have had a reasonable time to act. Tell us immediately at contact@coopfinnetwork.com if you suspect unauthorised access.
5. Sandbox and live
Where a sandbox is offered (currently for parts of the card API), it uses separate keys and test data and moves no real money. Sandbox results do not guarantee identical behaviour in live. Services without a sandbox run on live accounts only. We may limit or reset sandbox data at any time.
6. Wallet, fees and funding
- Unified USD wallet. USD-denominated services draw on one balance per company, made of your main balance and your USDT balance, which we account for at 1 USDT = 1 USD. MonCash balances are held separately in HTG, and other crypto assets are held separately.
- Fees. Each service has its own fees, shown in your dashboard or in the confirmation step before you pay. Fees can differ by company and can change; changes apply to future use after notice. Fees are non-refundable unless these Terms or the law say otherwise or we make an error.
- Funding. You fund your wallet by sending the supported asset on the supported network to the address we show you. Funds are credited after the required confirmations. Sending the wrong asset or using the wrong network may result in permanent loss.
- Your balance is not a bank deposit, does not earn interest, and is not insured by any deposit-protection scheme. We may use reasonable reservations and holds while a transaction is being processed.
- If your balance is insufficient, a service request may be refused. If a negative balance arises for any reason, you must correct it immediately and we may offset it against other balances you hold with us.
7. Cards
- Cards are issued by or through our issuing partners and remain subject to their conditions and to the rules of the Visa and Mastercard networks. Issuing is subject to approval, to cardholder identification, and to availability.
- You must register accurate cardholder details and must only issue cards to people you have lawfully identified. You are responsible for your cardholders’ use of the cards, for informing them of these conditions, and for protecting card data you receive.
- If a card cannot be issued after your wallet has been charged, the amount is returned to your wallet. Transactions authorised on a card are generally final. Disputes and chargebacks are handled according to network rules and may require your cooperation and documents.
- Physical cards are produced from designs that you submit and that we approve. You warrant that you hold the rights to all artwork and brand elements. Production, shipping and activation follow the process shown in your dashboard; physical cards are available on live accounts only.
- We may freeze, limit or cancel a card, and may delay funding, to meet legal obligations, prevent fraud, or comply with issuer or network requirements.
8. Payments
When you collect payments, customers pay through third-party networks or operators (for example MonCash, or a blockchain). A payment is complete only when we show it as completed. Each network has its own delays, limits and failure modes, which we do not control. You are the seller of record for your own goods and services and are solely responsible for them, for refunds you grant to your customers, and for taxes that apply to your business.
9. Crypto assets
- Crypto assets are volatile, may lose all value, and are not legal tender. Blockchain transactions are irreversible. Nothing on our site or in our dashboard is investment, legal or tax advice.
- We support specific assets on specific networks, which may change. You must use the network we indicate. We are not responsible for funds sent on an unsupported network or to a wrong address.
- Payments and deposits are credited after the network confirmations we require. Partial payments are recorded as received and the remainder as outstanding. Late payments on expired orders may need manual handling and may be subject to fees.
- Network events beyond our control (congestion, forks, protocol changes, outages of third-party infrastructure) can delay or affect transactions.
10. Identity verification
If you use our identity-verification service, you decide whom to verify and why. You must have a lawful basis to ask your users for identity data, must inform them clearly, and must give them our verification flow only for that purpose. Results are provided as information to support your own decisions; they are not a guarantee of identity or of any person’s eligibility, and you remain responsible for your compliance obligations. Verifications are billed when they are approved, as shown in your dashboard. You must keep the secret used to verify webhook signatures confidential and must handle verification data you receive in line with the law and our Privacy Policy.
11. Transfers and withdrawals
- Transfers to MonCash numbers and crypto withdrawals are requested from your dashboard and may be reviewed before they are sent. While a request is pending, the amount and fee are reserved. You can cancel a pending request; once sent, it cannot be reversed.
- You are responsible for the accuracy of recipient details and addresses. We may refuse, delay or limit any transfer for compliance, security or operational reasons, and will tell you where the law allows.
- The fee, and for MonCash the total debited, is shown before you confirm.
12. Acceptable use
You must not use the services, or let others use them, to:
- break any law, including laws on money laundering, terrorist financing, sanctions, tax, consumer protection and data protection;
- run or support illegal gambling, adult content involving exploitation, weapons, counterfeit goods, pyramid or Ponzi schemes, unlicensed financial or investment services, or any activity our issuing and payment partners prohibit;
- commit fraud, impersonate others, or use stolen or unauthorised identities, cards or credentials;
- attempt to disrupt, probe, scrape or reverse engineer the platform, bypass rate limits or security controls, or use the services to test stolen cards;
- resell or provide the services to third parties as a regulated activity without our written agreement.
We may list further restricted businesses in your dashboard or in a written policy, which then forms part of these Terms.
13. Compliance
We are required to monitor activity and to cooperate with authorities and partners. You agree to provide information we reasonably request (about your business, your customers, the source of funds and the purpose of transactions) promptly, and accept that we may delay or block transactions, freeze balances, and report to the competent authorities where the law or our partners require it, without liability to you.
14. Suspension and termination
You may stop using the services and close your account at any time after settling what you owe. We may suspend or terminate your access, a service, a card or a transaction immediately if we reasonably believe that you have breached these Terms, that there is a risk of fraud, loss or legal exposure, that a partner requires it, or that the law requires it. Where possible we will give you notice and an opportunity to withdraw remaining funds, subject to legal and compliance requirements and to any amounts you owe us. Provisions that by their nature should survive termination will survive.
15. Third-party services
The services rely on third parties such as card issuers, networks, identity-verification providers, mobile-money operators, blockchain infrastructure and email or messaging providers. Their availability, rules and decisions are outside our control, and their terms may apply to you in addition to these Terms. We are not liable for their acts or omissions beyond what the law requires.
16. Intellectual property
We own the platform, our software, documentation and brand. We grant you a limited, revocable, non-exclusive, non-transferable right to use the services and the API for your business under these Terms. You keep the rights to your content, brand and data; you grant us the licence needed to process them to provide the services (for example, to print your card designs and to display your branding in verification flows).
17. Availability and support
We work to keep the services available but provide them “as is” and “as available”. We do not promise uninterrupted or error-free operation, and we may perform maintenance. Support is provided through the channels shown in your dashboard and on our website, and response times are targets, not guarantees.
18. Liability
To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data; (b) we are not liable for losses caused by third parties, networks, blockchains, your own systems, your customers, or events outside our reasonable control; and (c) our total liability for all claims relating to the services in any 12-month period is limited to the fees you paid us for the affected service during that period. Nothing in these Terms limits liability that cannot be limited by law. You agree to indemnify us against claims, losses and costs arising from your breach of these Terms, your use of the services in violation of law, or the products and services you sell.
19. Changes
We may update these Terms, our fees and our services. For material changes we will give notice, for example by email or in the dashboard, before they take effect. If you keep using the services after the effective date, you accept the new Terms. If you do not agree, you must stop using the services and close your account.
20. Governing law
These Terms are governed by the laws of [Governing jurisdiction], without regard to conflict-of-law rules. Disputes will be brought before the competent courts of [Venue], unless mandatory law or a binding arbitration agreement we have signed with you says otherwise. We encourage you to contact us first so that we can try to resolve any issue informally.
